To enter this Promotion, you must agree to and abide by these Official Rules.

1. Sponsor: MEGA Brands Inc., 4505 Hickmore, Montreal, Quebec, H4T 1K4, Canada.
2. Administrator: LeadDog Marketing Group, Inc., 159 W. 25th Street, 2nd Floor, New York, NY 10001.
3. Eligibility: “The MagNext Fastest Builder in America Contest” ("Promotion") is open only to U.S. residents, who are between 6-10 years of age, who are accompanied by a parent or legal guardian at the time of the event. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Sponsor, Toys"R"Us Delaware, Inc., LeadDog Marketing Group, Inc., any organizations responsible for fulfilling, administering, advertising or promoting the Promotion or supplying the prizes, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of each such individuals, are not eligible to enter, play or win a prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. Potential winners may be required to provide proof of U.S. residency upon request prior to prize award. Void in Puerto Rico, the U.S. Virgin Islands and where prohibited or restricted by law.
4. How to Play: The Promotion will take place at participating U.S. Toys"R"Us stores on 8/16/08 between 11am and 1pm local time ("Promotion Period"). The competition will consist of two (2) fifty (50) minute competitions (each, a "Competition” and collectively, the "Competitions") during the Promotional Period. Competitors must be registered by their parent or legal guardian at least five (5) minutes prior to the start time of each Competition time frame in order to compete. Contestants will be placed into a Competition in the order in which they sign up. During each Competition all registered competitors will compete in two (2) person heats in which they will attempt to assemble the MagNext Sample set (SKU: 99283). The MagNext Sample set consists of 11 pieces and all pieces must be assembled in their proper place to be deemed a successful assembly. The competitor with the fastest assembly time at the conclusion of each Competition will be considered the Grand Prize winner. A representative of Toys"R"Us will be solely responsible for determining the contestants of each heat, the total number of heats, and the winners. The decisions of the Toys"R"Us representative are final and cannot be disputed. Participating Gift: Each Competition participant (up to a maximum of 70 participants) will be allowed to keep the MagNext Sample set that they use during the competition. ARV of the Participating Gift: $4.99 each.
5. Prizes, Approximate Retail Values ("ARV") and Odds:
   
   Grand Prizes (2 winners). One Grand Prize will be awarded to the winner of each Competition: The Grand Prize will consist of one 55 count MagNext Deluxe System. The approximate retail value ("ARV") of each Grand Prize is $19.99. Odds of winning the prize depend on total number of eligible contestants in each Competition.
   
   The total ARV of all prizes offered is $39.98. No substitution or transfer of prize except with Sponsors' permission or where required by law. Sponsor in its sole discretion may award a substitute prize of equal or greater value if advertised prize is unavailable at time of awarding. Federal, state and local taxes, if any, are solely the responsibility of the winners. Prizes are not redeemable for cash. In no event will more than the stated number of prizes be awarded.
6. Grand Prize Winner Notification/Prize Distribution: Winners will be announced at the conclusion of the Promotional Period by a representative of Toys"R"Us. The winning children along with their parent/legal guardian must be present to accept the Grand Prize. If a winner is not present at the time of the announcement or disqualified for any reason, prize will be awarded to the competitor onsite with the next fastest assembly time. All Participating Prizes will be awarded to eligible contestants onsite at the conclusion of the Promotional Period after the Grand Prize has been awarded.
7. Conditions and Limitations of Liability: By participating, entrants (and their parent or legal guardian) agree to be bound by and abide by these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects. By participating in this Promotion, entrants agree to release and hold harmless MEGA Brands Inc., Toys"R"Us Delaware, Inc., LeadDog Marketing Group, Inc., their parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Promotion and/or acceptance or use of any prize. By entering, entrants (and their parent or legal guardian) authorize the Released Parties to use their name, voice, likeness, photograph, prize information, biographical data and city and state of residence in programming, advertising, trade and/or promotional material or on a winner's list (if applicable) without compensation or notice, to the extent permitted by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without further obligation or compensation. Force Majeure: The failure of the Released Parties to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities outside of the control of the Released Parties (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.
   
   TO THE EXTENT PERMITTED BY LAW, SPONSOR MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF ANY PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
   
   If for any reason the Promotion is not capable of running as planned, including tampering, unauthorized intervention, fraud or technical failures beyond Sponsor's control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion and/or disqualify any individual who tampers with (or attempts to tamper with) the entry process/operation of the Promotion (or any part thereof). Notice of cancellation/termination/ modification/suspension of Promotion will be posted at participating Toys"R"Us locations. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation, theft or destruction of Magnext set.
   
   Entrants further agree not to knowingly damage or cause interruption of the Promotion and/or prevent others from participating in the Promotion. CAUTION: ANY ATTEMPT TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE OR AN INDIVIDUAL OTHERWISE ATTEMPTS TO DEFRAUD SPONSOR, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.
8. Disputes: Except where prohibited, entrant (and his/her parent or legal guardian) agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or an appropriate New York State Court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
